Non-Executive Director (NED)

The Company

A high-performing, profitable B2B SaaS SME headquartered in Bristol, generating strong recurring revenues and consistently growing EBITDA. The business is well-established in its core markets and continues to scale within the enterprise segment.

The company is now at a key inflection point. Alongside continued commercial growth, it is evolving its Board structure, strengthening governance, and assessing a range of future growth and liquidity options.


The Opportunity

The business is entering a period of transition at Board level, following a change in founding team dynamics. As a result, there is a clear need to strengthen the Board with an experienced, independent perspective.

We are seeking a Non-Executive Director to act as a trusted advisor to the CEO and an independent voice at Board level. The role will play a key part in shaping the next phase of the company’s direction, providing continuity and perspective at a pivotal moment.

This includes supporting decision-making at pace, helping the business maintain clarity and confidence as it evolves, and ensuring it remains well-positioned for future growth and potential liquidity events.

This is a high-impact role, well suited to an experienced operator or board-level contributor who enjoys working with profitable, scaling SMEs and can provide pragmatic, commercially grounded input without over-engineering the organisation.


Core Focus of the Role

The NED will support the Board in:

  • Maintaining strong investment readiness across governance, reporting, and strategic clarity
  • Defining and stress-testing credible exit pathways (e.g. strategic sale, private equity investment, or continued independent growth)
  • Supporting the CEO in shaping and executing the next phase of the company’s strategy
  • Aligning growth initiatives with sustainable profitability and long-term value creation
  • Supporting disciplined capital allocation and prioritisation
  • Helping balance entrepreneurial execution with increasing institutional rigour


Key Responsibilities

  • Act as a trusted sounding board to the CEO, providing perspective and constructive challenge
  • Provide independent oversight and contribute to effective Board decision-making
  • Support preparation for future funding, refinancing, or exit processes
  • Help articulate and refine the company’s equity story and investment case
  • Challenge strategic decisions through an investor and acquirer lens
  • Contribute to value creation planning and readiness for due diligence


Candidate Profile

We are looking for an individual who brings:

  • Senior leadership or board-level experience within profitable SMEs or scale-up environments
  • Direct exposure to transactions (e.g. exits, capital raises, or private equity investment)
  • Strong commercial judgement and the confidence to challenge constructively
  • Experience preparing management teams for investor or buyer scrutiny
  • Experience supporting founders or leadership teams through periods of transition or inflection
  • A collaborative, pragmatic approach suited to a hands-on Board

Previous Non-Executive Director experience is not essential. The emphasis is on judgement, relevant experience, and the ability to support the business in remaining both well-run and strategically flexible.


Remuneration & Terms

  • £4,000 per month
  • Approximately 2 days per month, including 4 in-person Board meetings annually (expenses covered)
  • 1–3 year term, aligned to the company’s growth and/or exit strategy
