Independent Non-Executive Director
Member-Owned Group (Renewable Energy & Life Sciences Manufacturing)
Remuneration: £15,000 per annum
Time Commitment: Approx. 15 days per year
Location: Hybrid (UK-based, with travel to Mid Wales as required)
Start Date: December 2026 (AGM appointment)
About the Organisation
Dulas Ltd and Polestar Cooling Ltd form a member-owned, purpose-led Group operating across two distinct but complementary sectors:
• Dulas Ltd – an internationally respected renewable energy and sustainability business working across energy access, climate resilience, and low carbon systems
• Polestar Cooling Ltd – a specialist life sciences manufacturing business designing and producing cold chain solutions supporting healthcare, pharmaceuticals, and global health outcomes
Polestar Cooling Ltd is a wholly owned subsidiary of Dulas Ltd. Together, the Group combines technical excellence, ethical trading, and long-term stewardship, with Members central to governance and accountability.
The Opportunity
An opportunity has arisen for an Independent Non-Executive Chair to provide Group-level governance leadership, strategic oversight, and stewardship across both Dulas Ltd and Polestar Cooling Ltd.
This is a rare opportunity to chair a values-led, member-owned Group, operating across renewable energy and life sciences manufacturing at a pivotal stage of development.
The Chair will ensure the Group remains aligned with its purpose, values, and democratic governance model, while supporting long-term commercial sustainability and impact.
This is a stewardship-focused role, centred on long-term value creation rather than short-term operational delivery.
Key Responsibilities
Board Leadership & Governance
• Provide independent leadership across Group Boards
• Ensure strong governance, accountability, and decision-making processes
• Promote effective Board culture, constructive challenge, and collective responsibility
Strategic Oversight
• Support oversight of Group strategy, risk, and financial sustainability
• Maintain a Group-wide perspective across multiple business units
• Ensure alignment between commercial activity and organisational purpose
Executive Oversight
• Work closely with the senior executive leadership team
• Provide support and constructive challenge while maintaining clear governance boundaries
• Ensure clarity of roles between Board and executive management
Culture & Values
• Champion the organisation’s values and member-led governance model
• Act as a steward of long-term purpose, ethics, and reputation
• Ensure Members remain central to governance and accountability
Candidate Profile
The successful candidate will bring:
Experience
• Senior Board-level or Chair/Vice-Chair experience
• Strong understanding of SME or multi-entity governance structures
• Experience overseeing strategy, performance, and risk at Board level
• Exposure to complex stakeholder or purpose-led organisations
Knowledge Areas (desirable)
• Employee-owned, co-operative, or member-led organisations
• Renewable energy, life sciences, manufacturing, or social enterprise environments
Personal Attributes
• Strong alignment with values-led governance and stewardship models
• Ability to provide constructive challenge and build consensus
• Strategic thinker with sound judgement and integrity
• Comfortable operating across different sectors and business models
Key Dates (Indicative)
