The Company
A high-performing SME B2B SaaS business based in Bristol, generating strong, recurring revenues and delivering consistently positive, growing EBITDA. The company is well-established in its core markets and is entering an important phase of development as it scales further, professionalises its governance, and considers future growth and liquidity options.
While the primary focus remains scaling within the B2B enterprise market, potential changes to the board structure and personnel now means the business has reached an inflection point
The Opportunity
The Board is seeking a Non-Executive Director to act as a trusted advisor to the CEO and an independent voice at Board level, with a particular focus on investment readiness, value creation, and exit optionality.
This role is well-suited to an experienced operator or board-level contributor who enjoys working with profitable SMEs and can bring perspective, judgement, and constructive challenge without over-engineering the organisation.
Core Focus of the Role
The NED will help the Board to:
- Maintain a high standard of investment readiness, appropriate for a profitable SME, across governance, reporting, and strategic clarity
- Define, test, and refine a range of credible exit options, without committing prematurely to a single outcome
- Ensure growth initiatives are aligned with sustainable profitability and long-term value creation
- Support disciplined capital allocation and strategic prioritisation
- Help the CEO and Board balance entrepreneurial pace with increasing institutional rigour
Key Responsibilities
- Act as a trusted sounding board to the CEO, offering perspective and constructive challenge
- Provide independent oversight and contribute to effective Board decision-making
- Support preparation for future funding, refinancing, or exit processes
- Help articulate and stress-test the company’s equity story and investment case
- Challenge strategic and investment decisions through an investor and acquirer lens
- Contribute to value creation planning and readiness for diligence
Candidate Profile
We are looking for an individual who brings:
- Senior leadership or board-level experience in profitable SME or scale-up environments
- Direct exposure to investment processes, exits, or capital raises
- Strong commercial judgement and the confidence to challenge constructively
- Experience preparing management teams for investor or buyer scrutiny
- A collaborative, pragmatic style suited to a hands-on Board
Previous Non-Executive Director experience is not essential. What matters most is sound judgement, relevant experience, and the ability to help the business remain both well-run and option rich whilst having a strong connection with the leadership team
Remuneration & Terms
- £4,000 per month fee.
- Approx. 2 days per month commitment, including 4 in-person Board meetings annually (expenses covered).
- 1- 3-year contract depending on exit or growth strategy defined in year 1
