The Company
Our client is a high-performing B2B SaaS business based in the South East, generating strong recurring revenues and delivering consistently profitable, growing EBITDA. The business is well-established within its core markets and has built a strong reputation for delivering mission-critical solutions to its customers.
Having successfully delivered sustained growth under private equity ownership, the company is now entering a significant new chapter. With a transition in ownership structure and a renewed focus on long-term value creation, the Board is seeking to strengthen its governance and strategic capability through the appointment of an experienced Non-Executive Director.
The Opportunity
This is an opportunity to join the Board at a pivotal stage in the company's evolution. The incoming Non-Executive Director will play an important role in supporting the leadership team through an ownership transition and helping to shape the next phase of growth.
Working closely with the CEO and wider management team, the successful candidate will provide independent challenge, strategic perspective and support around value creation, capital allocation and organisational readiness, ensuring the business remains well positioned to pursue a range of future strategic options.
This role is ideally suited to an experienced operator or board-level executive who enjoys working alongside ambitious management teams and can bring sound judgement and practical insight without overcomplicating the organisation.
Core Focus of the Role
- Successfully navigate an important transition in ownership and governance.
- Maintain a high level of investment readiness across reporting, governance and strategic planning.
- Support the execution of the next phase of growth and value creation.
- Ensure growth initiatives remain aligned with sustainable profitability and long-term shareholder value.
- Support disciplined capital allocation and strategic prioritisation.
- Help the leadership team balance entrepreneurial agility with increasing institutional rigour.
- Maintain strategic flexibility and preserve future liquidity options.
Key Responsibilities
- Act as a trusted sounding board to the CEO and executive leadership team.
- Provide independent oversight and contribute to effective Board decision-making.
- Support the business through an evolving shareholder structure and ownership transition.
- Help articulate and refine the company's long-term strategic and investment proposition.
- Challenge key strategic decisions through an investor, lender and acquirer lens.
- Contribute to value creation initiatives and organisational readiness.
- Support management in preparing for future financing events and strategic opportunities.
- Encourage governance and reporting disciplines appropriate to a scaling, profitable SaaS business.
Candidate Profile
- Senior leadership or board-level experience within profitable software, technology or scale-up environments.
- Experience of private equity-backed businesses, ownership transitions, management buyouts, refinancing events or exits.
- Strong commercial judgement and the confidence to challenge constructively.
- Experience supporting management teams through periods of strategic change.
- The ability to build trusted relationships with executives, shareholders and wider stakeholders.
- A collaborative and pragmatic style with the credibility to provide both support and independent challenge.
Previous Non-Executive Director experience is welcomed but not essential. What matters most is the ability to bring relevant experience, sound judgement and the capability to help guide the business through an important phase of transition and growth.
Remuneration and Time Commitment
Fee: £4,000 per month.
Commitment two days per month.
Four in-person Board meetings annually (expenses covered).
Initial term of one to three years, reflecting the ownership transition and subsequent growth strategy.
The Ideal Candidate
This role is likely to suit an experienced CEO, CFO, COO, Managing Director or existing Non-Executive Director who has operated within private equity-backed businesses and has first-hand experience of management buyouts, refinancing processes, value creation programmes or successful exit events.
The successful candidate will combine strategic thinking with strong commercial instincts and will enjoy working closely with an ambitious leadership team as the business embarks on its next stage of development.
